Eagle-Lion Legal Files: United Artists Corporation Records, Series 1G, 1944-1960 (bulk 1948-1950)

Biography/History

Shortly after the end of WWII, Eagle-Lion Films Inc., an Ohio corporation, was founded as a wholly owned subsidiary of Robert Young's Pathé Industries Inc.

On June 1, 1950, Eagle-Lion Classics Inc. was incorporated in New York. Eagle-Lion Classics, too, was partially owned and completely controlled by Pathé.

On June 10, 1950, Eagle-Lion Classics succeeded to the assets of Eagle-Lion Films Inc. of Ohio and Eagle-Lion Films became defunct.

On April 11, 1951, the United Artists Corporation reached an agreement with Pathé Industries Inc. which became effective on April 28.

On April 28, 1951, persuant to the April 11 agreement, Pathé Industries transferred all the issued and outstanding stock of its then wholly owned subsidiary, Eagle-Lion Classics Inc., to the United Artists Corporation and Eagle-Lion Classics became a wholly owned subsidiary of United Artists.

Eagle-Lion Films was never a subsidiary of United Artists. But by virtue of its acquisition of Eagle-Lion Classics, United Artists gained control of the records of Eagle-Lion Films, since Eagle-Lion Films had earlier been absorbed by Eagle-Lion Classics.
