Abstract:
Papers documenting the activities of the Employee Welfare Funds Division of the Wisconsin Insurance Dept.. Included are annual reports, correspondence with fund trustees, lists of officers and trustees of specific funds, reports, records documenting policy development, files documenting special investigations, and records documenting legislation related to the Employee Welfare Funds Law. Also included are the records of the Employee Welfare Plans Advisory Council and the Advisory Committee of Consulting Actuaries.

Biography/History

Chapter 552, Laws of 1957, created chapter 211 of the statutes relating to the supervision of employee welfare funds. In a declaration of policy, the law stated that

... employe welfare funds are of great benefit to employes and their families and that their growth should be encouraged; that the establishment and management of such funds vitally affect the well-being of millions of people and are in the public interest; and that such funds should be supervised by the state to the extent necessary to protect the rights of employes and their families . . . . (section 211.01, Wisconsin Statutes)

Employee welfare funds which received payments of more than 2,000 dollars per year or which provided payments for benefits under plans covering 26 or more employees working in Wisconsin were required to register with the Commissioner of Insurance and to describe their organization, operations, and affairs (section 211.03). The commissioner was authorized to examine the operations of employee welfare funds as often as necessary but at least once every five years; and he was empowered to appoint an examiner who would report back to him. Examination reports could not be made public until a copy had been given to the employee welfare fund, which would bear expenses for the examination (sections 211.04-211.07). Trustees of every fund were required to file an annual statement on or before June 1, giving the names and addresses of the trustees; number of persons covered; fiscal year; and type of plan used, showing the benefits provided, method of determining eligibility for benefits, copy of the plan or collective bargaining agreement under which the plan was established and operated, source of financing and identity of the organization through which benefits were provided, and employee booklet describing the plan (section 211.08). The commissioner was authorized to request special statements or reports as needed, and trustees of every fund were also required to file an annual report showing the condition of the fund on December 31 (sections 211.09-211.10). Sections 211.11-211.13 concerned reports by insurance companies to trustees of funds, reports of employer contributions to employee welfare funds, and waivers of examinations of foreign (out of state) funds. Section 211.14 provided for compliance, enforcement, and penalties. Specifically, it assigned responsibility to fund trustees for money, property, and assets received, managed, or disbursed by them; prohibited an individual from serving as an employee of an employee welfare fund as well as an agent of a company providing insurance to the fund, which would be a conflict of interest; prohibited political contributions; provided penalties for embezzlement and other violations of the provisions of this chapter; and authorized court action by the attorney general in cases of wrongful or negligent fund depletion. Section 211.15 allowed the commissioner to seek an injunction restraining persons from doing acts in violation of this chapter which would cause irreparable injury to the interests of the people of the state or the beneficiaries of the fund. Section 211.16 authorized the commissioner to appoint an advisory council to advise him in carrying out his functions under chapter 211.

Chapter 2, Laws of 1959, repealed and recreated section 211.08, changing the filing date for annual statements. Section 211.10, as recreated, eliminated the requirement to file annual reports.

Chapter 225, Laws of 1961, further amended the statutes. Section 211.03 was amended to require registration from trustees of every fund, instead of just those receiving more than 2,000 dollars per year or covering 26 or more employees working in Wisconsin. Section 211.04 was amended to provide for examinations of funds at regular intervals. Section 211.05 was repealed and recreated to provide an alternate means of examination; in lieu of the commissioner appointing an examiner, trustees or sponsoring employers of funds could submit a report of an examination performed by certified public accountants. Section 211.08 was amended to require annual statements only from the trustees of funds covering 26 or more employees working in Wisconsin. Section 211.14(6) was created, authorizing the commissioner to impose a forfeiture of 5 dollars per day, not to exceed 500 dollars per default, upon funds which failed or refused to comply with the filing requirements of chapter 211.

Chapter 43, Laws of 1967, created section 211.07(2) of the statutes, allowing the commissioner to determine filing fees to be paid by every employee welfare fund registered under chapter 211. The fee was set at 25 dollars and, after June 30, 1972, raised to 40 dollars.

Chapter 309, Laws of 1967, amended section 211.04(l), clearly enabling the commissioner to examine the actuarial status of employee welfare funds. Prior to this, the authority to examine the actuarial status of funds was never directly authorized by law, although actuarial examinations had been conducted by the Employee Welfare Funds Division. Several amendments and renumbering changes were made in section 211.14 (the compliance, enforcement, and penalty section), clarifying the standards by which trustees of funds were expected to manage the fund's affairs. Section 211.14(1) was amended to include a statement that trustees were to invest funds and manage fund affairs using the judgment and care which men of prudence, discretion, and intelligence exercise in the management of their own affairs. Section 211.14(2) was renumbered section 211.14(2)(a) and section 211.14(2)(b) was created, requiring that trustees investing employee welfare fund monies in securities take adequate safeguards in purchasing them.

Chapter 276, Laws of 1969, section 533, repealed and recreated section 211.16 of the statutes, changing the name of the Employee Welfare Funds Advisory Council to the Employee Welfare Plans Advisory Council.

Chapter 337, Laws of 1969, section 84, repealed section 211.16 of the statutes, which had authorized the creation of the Employee Welfare Plans Advisory Council. Section 85 of the same law created chapter 601 of the statutes, revising and consolidating the insurance laws, which had been scattered throughout the statutes resulting in ambiguity, repetition, and inconsistency. The law suggested that the agency rely on administrative rule-making. More specifically, the newly created section 601.20 of the statutes empowered the commissioner to create advisory councils and committees under section 15.04(3) of the statutes. In a commentary, the law stated that the power to create advisory councils and committees existed in the absence of statute, but that enactment, while adding nothing to the legal powers of the commissioner, might encourage the use of advisory groups and endow them with more prestige and effectiveness. However, since it was felt that acceptance or use of such councils could not be forced upon a commissioner without diminishing his power and responsibility, the law made the appointment of such bodies possible without making it mandatory.

[The commissioner] could shape advisory bodies in terms of size, formality, frequency of meeting or any other variable, or he could dispense with them altogether . . . . The employee welfare plan advisory board (now council) [was] created by s. 211.16. [This section has] been dropped. While [this body performs] useful functions and should be continued, simplification of the statutes demands that such bodies be created in the same way as other advisory bodies, i.e. by rule, not by statute. Rules creating and governing [this council] should therefore be promulgated simultaneously with the enactment of this chapter, so [it] may continue [its] useful existence on an appropriate basis. (p. 337, Laws of 1969)

Section Ins. 8.10 of the Wisconsin Administrative Code, effective August 1, 1970, continued the council, pursuant to sections 15.04(3) and 601.20 of the statutes. The rule made minor changes in the composition and administrative structure of the council and the frequency of its meetings, but the purposes of the council remained essentially the same.

The administration of employee welfare fund laws was affected by other sections of the Wisconsin Administrative Code as well. Of particular interest as it applies to the special investigations conducted by the Employee Welfare Funds Division (Series 1737) is section Ins. 8.01, effective September 1, 1960, clarifying the prohibition of the receipt of payments from funds by parties-in-interest, described in section 211.14(2), later (2)(a), of the statutes. This rule was not intended to prohibit trustees from investing fund monies in a certain way, but it prohibited them and other specified persons who would be in a position to influence the transactions of a fund (parties-in-interest) from using their positions to enrich themselves at the expense of the fund. Penalties were enforceable against the parties-in-interest, rather than against the fund. Other sections of chapter 8 of the Wisconsin Administrative Code, relating to the Employee Welfare Funds Division, concerned the following: section Ins. 8.02, various portions effective in 1962, 1968, and 1971, definition of “trust fund or other fund;” section Ins. 8.03, effective August 1, 1962, definition of “employee benefits;” section Ins. 8.04, effective August 1, 1962, requirements of registration; section Ins. 8.05, effective August 1, 1962, cancellation of registration; section Ins. 8.06, effective August 1, 1962, requirements for filing annual statements and number of fund participants; section Ins. 8.07, effective August 1, 1962, definition of “persons employed in this state;” section Ins. 8.08, effective August 1, 1962, availability of information to fund participants; section Ins. 8.09, effective August 1, 1962, preservation of records; and section Ins. 8.10, effective August 1, 1970, previously mentioned, which created the Employee Welfare Plans Advisory Council.

The regulatory activity performed by the Commissioner of Insurance was terminated by the Federal Employee Retirement Income Security Act of 1974 (Public Law 93-406), effective January 1, 1975, which superseded all state laws relating to employee benefit plans. In a declaration of policy, Congress stated that the pre-emption of state laws was necessary because of the rapid growth of employee welfare plans; the increasingly interstate operational scope and economic impact of their activities; the well-being of millions of employees and their dependents which was directly affected by these plans; the large volume of activities which were carried on by mails and instrumentalities of interstate commerce; the benefits of full disclosure and safeguards to employees and their families; and the inadequacy of then current minimum standards.

Scope and Content Note

It was the practice of the Employee Welfare Funds Division to shift an entire fund file as it had accumulated when the fund fluctuated between over 25 and under 26 status or when it terminated operations or was reactivated. Because of this, the location within these series of an entire fund file, annual statements, or fund documents depends upon the most recent status of the fund. It should also be noted that certain records, for example annual statements and fund documents, which had each been filed separately in the early years of the division (and which are catalogued as separate series) were merged in later years into a comprehensive fund file, represented by Series 270 and Series 1732.

This collection was received in multiple parts from the donor(s) and is organized into 20 major parts. These materials have not been physically interfiled and researchers might need to consult more than one part to locate similar materials.

Scope and Content Note: Correspondence, complaints, registration and annual statements, fund documents (profit sharing plans), and examination papers filed by trustees of active employee welfare funds (covering 26 or more employees working in Wisconsin). This is by far the largest of all the series of records from the Employee Welfare Funds Division. Although the series dates from 1957 to 1974, the bulk of the records dates from 1969 to 1973. Additional fund records consisting of correspondence and annual statements are filed alphabetically in boxes 263-265. Annual statements prior to 1969 are filed in Series 1062, and fund documents prior to 1963 are filed in Series 1064.

Scope and Content Note

Statements list names and addresses of fund officers and trustees, total number of employees covered, number of employees working in Wisconsin, and a financial report of the funds, filed under section 211.08 of the statutes by trustees of funds covering less than 26 employees working in Wisconsin.

Under chapter 225, Laws of 1961, only funds covering 26 or more employees had to submit an annual statement. Even though the trustees were no longer required by law to report, they sometimes did, either because they simply wished to continue, or because the number of employees covered fluctuated above or below 26. When the number of employees covered dropped below 26, the accumulation of annual statements was shifted to the under 26 file although some of the statements will show that the fund covered 26 or more employees. Statements for prior years might be filed in Series 1062.

Scope and Content Note

Shows name of fund and address of principal office; name and address of person to whom reporting forms should be mailed; effective date of plan; date fund accounting year ends; name and address of trustees; identity of contributors to fund; number of participants; names of insurance companies and types of benefits offered; names of insurance, investment, or actuarial consultants; and information regarding internal administrative functions of fund.

After 1961, every employee welfare fund covering one or more employees working in Wisconsin was required to register; prior to this, only funds which received payments of more than 2,000 dollars per year or which provided payments for benefits under plans covering 26 or more employees working in Wisconsin were required to register. Any under 26 registrations dating from 1957 to 1961 were filed by funds receiving payments in excess of 2,000 dollars per year. Registrations for over 26 funds are filed in Series 270.

Scope and Content Note

Examination reports authorized by section 211.04 of the statutes including certificate of publication, notification from the commissioner to the participants that the fund is being operated in a manner consistent with the welfare of the participants financial statements, and other related material.

Examinations were conducted by persons appointed by the commissioner, or, alternately, by certified public accountants employed by the trustees or sponsoring employer of a fund. Although the power to conduct CPA exams was not specifically granted until 1961, the series includes CPA exams back to 1958.

Scope and Content Note

Minutes and proceedings, correspondence, reports, and forms.

Authorized in 1957, the council consisted of seven members: two representatives of management, two representatives of employees, and three representatives of the general public from the fields of banking, economics, and insurance. Although the council was charged to meet at least once each year and at such times as it deemed necessary or the commissioner requested, it did not meet in 1961-1963, 1965, or 1968. Chapter 337, Laws of 1969, repealed the statute which created the council and recommended that it be continued under the commissioner's rule-making authority. Section Ins. 8.10 of the Wisconsin Administrative Code, discussed at the council meeting of April 14, 1970, continued the council. The council as recreated consisted of the commissioner or his designee plus eight other members having competence in the field of employee welfare funds: two representatives of management, two representatives of employees, and four representatives of the general public. Terms of office were set at two years, and the council was charged to meet at least twice each year when called by the commissioner and at such other times when requested by the commissioner or two or more members.

Part 13 (Series 1737): Special Investigation Files, 1958-1975

Scope and Content Note

Correspondence; copies of transcripts of court proceedings, hearings before the Commissioner of Insurance, and other legal documents; and occasional registration statements, examination and actuarial reports, and annual statements; relating to investigations of funds or persons, usually involving alleged violations of section 211.14 of the statutes. Special investigations were made into the following funds or persons:

--Association Life Insurance Company, an investigation, 1965-1966, of multi-employer trust programs operated by the Association Life Insurance Company, concluding in a judgment that conflicts of interest existed between the management company, the trustee, and the insurance company and that corrections would have to be made. (In Box 1)

--Barbers, Beauticians, and Allied Industries Pension Fund, an investigation, 1970-1973, of a fund suspected of being actuarially unsound, in which the Commissioner of Insurance and the Attorney General's office appeared as amicus curiae in an action in federal court in Indianapolis resulting in termination of the fund and distribution of the fund assets. (In Box 1-2)

--Dietz Electric Company, a fund depletion investigation, 1973-1975, involving party-in-interest investments, resulting in court action in the Dane County Circuit Court. The fund was terminated, and fund assets were distributed to the participants. (In Box 2)

--H.H. Evon-Red Dot, an investigation, 1973-1975, concerning the closing of the Red Dot potato chip plants in Madison and Rhinelander which had been acquired by the H.H. Evon Company of Little Rock, Arkansas, and the problems arising in the termination of the retirement fund and distribution of its assets. (In Box 2)

--E.R. Flint and Company Employees' Stock Bonus Trust, a fund depletion investigation, 1967-1969, of a retirement fund operated by a floor covering company in Milwaukee which closed its operations because of financial difficulties, resulting in hearings before the Commissioner of Insurance to determine the facts and the responsibilities of the trustees. The file contains original copies of annual statements, correspondence, and examination reports, 1961-1965, which were used in the investigation. (In Box 2)

--Pension Management, Inc. and H.R. Buckman, a conflict of interest investigation, 1970-1974, concerning H.R. Buckman, an employee of the trustees of Pension Management, Inc. as well as an agent for the insurance purchased by the trustees, settled by a circuit court decision in Dane County holding that Mr. Buckman was not in violation of section 211.14(2)(a) of the statutes. (In Box 2)

--Teamsters Local 158 Health and Welfare Fund, an investigation of fund mismanagement, 1958-1959, 1964, resulting in exploratory hearings held in Milwaukee in 1958-1959 and culminating in a fugitive warrant issued in 1964 for one of the union and fund officials. The final disposition of the case is not clear from the file. (In Box 2)

--Russell M. Tolley, a conflict of interest investigation begun in 1959 concerning Russell Tolley, an employee of the trustees of a health and welfare fund in Milwaukee as well as an agent for the insurance purchased by the trustees. In 1961, Tolley, then a resident of Indiana, applied for a non-resident life insurance agent's license, which the commissioner refused to grant. Tolley filed a petition for a public hearing on the matter, which he withdrew in 1962. (In Box 2)

--Union Vacation Stamp and Nostamp Plans, an investigation, 1959-1962, to determine whether union vacation plans were subject to the Employee Welfare Funds Division's jurisdiction as welfare funds. Vacation stamp plans required the employer to buy stamps from a bank or a union and put them in his employees' stamp book, which then would be redeemed for vacation days. The stamp plans decreased in popularity as time went on, so this question became academic. (In Box 2)

Scope and Content Note: General correspondence, correspondence relating to funds covering less than 26 employees working in Wisconsin, complaints, and suspense (pending) files. Some of the suspense files had been closed and filed as completed, while others were still pending at the time the Employee Welfare Funds Division was preempted by the federal act. The Commissioner of Insurance continued to receive correspondence, dating from 1975 to 1976, after the Division was preempted; however, the bulk of the series, dating from 1957 to 1974, consists of correspondence received while the Division was functioning under chapter 211.

Scope and Content Note

Correspondence, reports, memos, drafts, and forms.

The Advisory Committee of Consulting Actuaries was established in 1960 to assist the Employee Welfare Funds Division in developing a program for actuarial review of pension funds. The committee consisted of three members who represented consulting actuary firms which served pension funds covered under chapter 211. Their work culminated that year in the development of an actuarial report form used in obtaining actuarial data for fund examinations. There was no further committee activity until 1968.

With the enactment of chapter 309, Laws of 1967, the commissioner received the clear authority to examine the actuarial status of employee welfare funds. Prompted by this legislation, the committee was re-established in 1968 to develop actuarial funding standards so the commissioner could report to participants in a fund if their plan was being funded in accordance with the standard and to develop a reporting form which was consistent with actuarial terminology and which clearly established the responsibility of the consulting actuary signing the form. The re-established committee consisted of five members. By the end of 1968, the Employee Welfare Funds Division concluded that the idea of developing a standard should be abandoned and that it should attempt, instead, merely to report the actuarial status of a plan to the fund participants.

The bulk of the files date from the division's early years of operation, 1957-1959, and consist primarily of correspondence detailing why the fund is not subject to the Division's jurisdiction.
