undistributed earnings for 1942 and also a balance in
excess of $500,000 in the earned surplus account. Fol-
lowing a discussion, Director H. G. Evans offered the
following resolution:
WHER AS, it aopears that net earnings of the
cornoration for the first ei-ht weeks of the year
1942 were in-excess of q84,000 after deprecia-
tion, bond interest nd est mated taxes on income,
and
WHEREAS, all accumulated dividends on the First
Preferred stock of the cornorction have been
prid to date, and cuarterly dividends have been
pPid on the First Preferred and Class A Prefer-
ential Particinating stocks of the cornoration
to December 31, 1941, and
WHEREAS, a quarterly dividend of 1-3/4" on the
First Preferred $100 per stock and a cuprterly
dividend of 25 per share on the Class A Prefer-
ential Particioating stock lould reluire 7-oroxi-
metely $16,717.50, leeving an excess of $65,000
of undistributed earnings for 1942 and also a
balnnce in the earned surplus account, now
therefore,
BE IT RESOLVED, that this corportion pay a div-
idend of 1-3/11i, payable in cash, on the outstandin-
$100 par value First Preferred stock of te cor-
poration, this cash dividend being paid on March
31, 1942, from earnings of the year 1942, to all
stockholders of record at the close of business on
March 21, 1942, said dividend covering' the period
from January 1, 1942 to March 31, 1942
RESOLVED FURTHER, that this cornoration pay a
dividend of 25 per share, peyable in cash, on
the outstanding Class A Preferential Perticinating
stock of the corporation, said cash dividend being
