The following resolution was introduced by W. D. Richards:
"Whereas, at the annual meeting of the stockholders of
this company held January 25, 1898, at which all of the stockholders
were present except W. C. Clark and E. G. Nash, those present owning
and holding more than two-thirds of the capital stock of said com-
pany, the following resolution was adopted, to wit: 'Resolved,
that the directors be authorized and required to proceed to procure
the amendrient of the Articles of Incrporation so as to make the
authorized capital of the company Two Hundred Fifty Thousand Dol-
lars.9 Now, therefore, be it by the directorw of the Hamilton Man-
ufacturing Company,
"Resolved, that the third article of the Articles of Asso-
ciation or Incorporation of said company be amended so that the same
as amended shall read as follows:
ARTICLE III.
The capital stock of said corporation shall be Two Hundred
Fifty Thousand Dollars, ($250000.00), and th6 same shall consist of
two thousand five hundred, (2500) shares, each of which shares shall
be of the face or par value of One Hundred Dollars, ($100.00).

Adopted.
Voted that the secretary be instructed to prepare the
necessary certificates to be recorded in the register's office and
filed in the secretary of state's office to carry into effect the
anendments authorized by the stockholders and directors, and that
he be furnished with the necessary funds by the treasurer to pay
the legal charges therefor.
The following resolution was offered by L. J. Nash:
"Resolved, that this corporation sell and convey to the
Aluminum Manufacturing Company the real estate known as the old
play consisting of Lots I and 2 in Block 73 of the city of Two
Rivers, according to the recorded plat thereof, for the considera-
tion of Three Thousand Dollars.
(Signed) L. J. Nash."
Adopted.
The following resolution was offered by W. D. Richards:
"Whereas, the board of directors are satisfied that the
net present worth of the company over and above all its liablitie.
equals Two Hundred Fifty Thousand Dollars, therefore
"Resolved, that there be, and there hereby is, declared
dividend equal to the difference between the stock now outstandina
and the said sum of Two Hundred Fifty Thousand Dollars, such divi-
dend to be paid in fresh issues of stock instead of money, and such
stock dividends to be distributed to the stockholders pro rata ac-
cording to thai present holding

Adopted.
Minutes of this meeting read and approved.
Voted that this meeting do now adjourn sine die.
