HAM ILTON ,iNUFACTURING COMPANY Two Rivers, Wisconsin March 13, 1942 On this day at three o'clock P. the Board of Directors of Hamilton Manufacturing Comrony met in the office of the corportion in Two Rivers, Wisconsin, pursuant to waiver of notice on file. The meeting was called to order by E. P. Hamilton, -resident; W. G. Dickson, secretary, present and acting as such. Jol1 cr11 of Cirectors showed the following present in person: . P. Hamilton I. G. Evans A. L. Nash W. G. Dickson The president stated that the purpose of the meet- ing was to consider declaration of dividends, as set forth in notice of meeting to all directors; that the comptroller's financial report for the first ei ht weeks of the year 1942, after depreciation, bond interest, and estimated taxes on income, was in excess of $84,000; that all accumulated dividends on the First Preferred Stock of the corooration have been paid to date and nuerterly dividends have b-en ,id on the First Preferred and the Class A Preferential rticioating stocks of the corporation to December 31, 1941; .at a quarterly dividend of 1-3/4% on the First Preferred $100 par stock and a 25 per share dividend on the Class A
