SPECIAL ETII G OF 2il BOARD OF DIRECTORS OF HAMILTOM MANUFACTURING COMPANY Two Rivers, Wisconsin June 12, 1941 On this day at 3 o'clock P.Ei., the Board of Direc- tors of Hamilton Manufacturing Company met in the office of the corportion in Two Rivers, Wisconsin, pursuant to waiver of notice on file. The meeting was called to order by H. C. Gowran, President; WN. G. Dickson, Secretary, present and acting as such. Roll call of directors showed the following present in person: H. C. Gowran E. P. Hailt W. G. Dickc,:. H. G. Evans The President stated ta t the puroose of the meet- ing was to consider declaration of dividends, as set forth in notice of meeting to all directors; that the Comptroller's estimate of earnings for the first half of the year 1941, after depreciation, bond interest, and estimated taxes on income, vas in excess of $175,000; that all accumulated dividends on the First Preferred stock of the corooration have been paid to date an quarterly dividends have been naid on the First Pre- ferred and Class A Preferential Participating stocks of the corporation to March 31, 1941; that a quarterly dividend of 1 on the First Preferred $100 par stock and a 25/ per share dend on the Class A Preferential Participating stock wouli r'- quire aporoximately $16717*50, leaving an excess of about
