Following a discussion, Director H. G. Evans offered the following resolution: "RESOLVED, that this Board of Directors hereby ratifies, approves and confirms the construction contracts, en- tered into,with Immel-Mabie Construction Company on December 9, 1940 for the construction of warehouse and production facilities on a cost plus basis. RESOLVED FURTHER, that this cornoration borrow $100,000 from the First Wisconsin National Bank of ilwaukee at such time as it b comes necess;ry to nke disbursements for payment of construction eost of warehouse building being erected and nder terms and conditions set forth in revised orm of note submitted, in the words and figures 'ollowing, to wit: "l10,0o0.00 Milwauke, Wisconsin, February 14, 1941. FOR VALUE RECEIVED the undersigned HA ILTON MANU;ACTTJURING COMPANY, a Wisconsin corporation, promises to pay to the order of FIRST WISCONSIN NATIONAL BANK OF MILWAUKEE (hereinafter called the "Bank11), at its office in the City of ilwaukee, Wisconsin, the cim of ONE HUNDRED THOUSAND DOLLARS ($100,000.00) on the dates and in in- stallments as follows: Twenty Thousand Dollars ($20,000.00) one (1) year after date, Twenty Thousand Dollars ($20,000.00) two (2) years after date, Twenty Thousand Dollars ($20,000.00) three (3) years after date, Twenty Thousand Dollars ($20,000.00) four (4) years after date, -Thousand Dollars ($20,000.00) five (5) ears after date, fit inrnt pyal semi-annually at the rate of three per cent.
