On th  day at the officagof Nash& Nash in the City of
'anitowoc, Wisconsin, James V. Hamilton and Iyman J. Nash, direc-
iors of +he Hamilton anufacturing Company, met and held an offi-
cial meetinr for the nurose of transactinF business coming before
said directors, William D. Richards, the other director, not being
found, was no+ un+ifind +. attend.
Lvmnan J. Nash offered the f-11nwing resolution:
Resolved, that the corporation waive its right to ur-
chase +e stock of said Comrany now hold byv W. C. Luse who is de-
sic us af P!lin    a same and that James 7. Hynilton, a presen+,
stockholder of +n Company, be, and he hereby is authorized +o make
said purchase.   Resolved further that upon the ret!rn for can-
cellation of the certificates of stock now held by the said W. C.
use with proper assignmen+s thereof   othe said J. E. Hamilton,
at a ne' cer+ificate be issued to the said Hamilton for the same
number of shares represented by th certificaes so to be cancelbd.
Adopted.
The minutes of this meeting read and arnoved.
Voted that this Board do now adiouwn sine die.
