said gold notes or debentures and the execution and delivery
of said trust indenture to secure the same. The proposed form
of trust indenture, containing a proposed form of gold note
or debenture was the identical form which was submitted to and
authorized to be executed and delivered by said stockholders'
meeting. After examination of said proposed trust indenture,
the following: reambles and resolutions were offered, and were
duly seconded and unanimously adooted by the affirmative votes
of all of the directors .resent:
WHEPEAS, this corporation, in order to provide
means for the acquisition of property and to borrow
money and for such and other lawful purposes, desires
to create and issue its notes or debentures limited
to an aggregate principal amount of Three Hundred
Thousand Dollars ($300,00O), and to secure the same by
a trust indenture in the form submitted to this special
meeting of the Board of Directors;
RESOLVED, by said Board of Directors, that this
corporation do create and issue its notes or deben-
tures, and do execute said trust indenture for the
security thereof, and that the proper officers of this
corporation be and they hereby are authorized and
directed to sign, sea]l and deliver said trust indenture
to the trustee therein named and to sign and seal the
said notes or debentures and procure the authentication
thereof by said trustee, and to take all such other
action as may be necessary or expedient in order fully
to carry intoeffect the issue of said notes or deben-
tures and the execution and delivery of said trust
indenture.
RESOLVED, by said Board of Directors, that all of the
resolutions adopted by the stockholders at their said
special meeting, with reference to the issue of said
