Lue -oaru of Directors of Hamilton Manufacturing Company met at the company's office in the city of Two Fivers, Wisconsin, pursuant to waiver of notice on file. President E. 1. hamilton callea the ueeting to oraer. In the absence of A. L. Nash, Secretary, W. G. Dickson, issistant Secretary, acted as secretary of the meeting. Roll call of directors snowed tie following present in rerson, constituting~ a cuortum: . P. Hamilton -. u. Evans G G. Dickson . H. Lohman The presiaent first brought up for discussion a report prepared by the conpany's financial division covering present and prospective business conditions to be aet during the calendar year 1949. The airectors examined the report and discussed the - problems to be met in case the present recession of business throughout the country should adversely affect the company's operations. No formal action on the report was had. The president then called attention to the fact that according to the company's practice, a quarterly dividenu should :e pai to all stockholuers, amounting to 250 per snre, at or out tie ena of the first quarter of the current year. He informaed the Boara that the company'S earnings and cash position woula justify such a iviaena. Inereupon the following resolution
