L MEETING OF THE BOARD OF DIRECTORS OF
Larch 10, 141
On this day at three o'clock P. M. the Board of Direc-
tors of Hamilton Ianufacturing Company met in the office of the
corporation in Two Rivers, Wisconsin, pursuant to waiver of
notice on file.
The meeting was called to order by H. C. Govran, Presi-
dent; W. G. Dickson, Secretary, present and acting as such. Roll
call of directors showed the following present in person:

P. Hamilton

_at the purpose of the meeting
was to consider the declaration of dividends, as set forth in
notice of meeting to all directors; that the comptroller's
estimate of earnings for the first quarter of the year 1941,
after depreciation, bond interest and estimated taxes on income,
is in excess of $100,000; that all accumulated dividends on the
First Preferred stock of the corporation have been paid to
date and quarterly diviaends have been paid on the First Pre-
ferred and Class A Preferential Participating stocks of the
corporation to December 31, 1940; that a quarterly dividend
of 1  on the First Preferred $100 par stock and a 25 per
redividend on the Class A Preferential Participating stock
