WAIVTER OF NOTIC2 OF SPECIAL EETING OF DIRECTORS
We, the undersigned, being all the directors of Hamilton
Manufacturing Company, a Wisconsin corporation, do hereby waive
all notice required by statute, or by the By-Laws of said
corporation or otherwise of or for the ourpose of convening
a special meeting of the Board of Directors of said corporation
to be held at its principal office in the City of Two Rivers,
Wisconsin, on Saturday, the 20th day of March, 1926, at the
hour of ten o'clock in the forenoon, for the following purposes:
(1) Considering and acting with respect to any and all
action taken and resolutions adopted by the stockholders
of said corporation at a special :eeting thereof held
on March 18, 1926, at five o'clock in the afternoon.
(2) Authorizing the issuance of said corporation's
first mortgage 60 serial gold bonds, limited to an
aggregate principal amount of 11,000,000, pursuant to
the plan of reorganization of The Eamilton Manufacturing
Company, a Wisconsin corporation.
(3) Authorizing the making, execution and delivery
by said corporation of its first mortgage and deed of
trust upon all or any portion of its rights, privileges,
franchises, revenues and pro.erty, both real and personal,
to secure said bonds.
(4) Authorizing the issuance of said corporation's
65 serial gold notes or debentures, limited to an
aggregate urincipal amount of :300,000, pursuant to the
above mentioned plan of reorganization.
(5) Authorizing the making, execution and delivery
by said corporation of its indenture of trust, the same
not being in the form of a mortgage and being in all
respects subordinate and junior to the first mortgage
described in the paragraph numbered (2) above, to
secure said gold notes or debentures.
(6) Authorizing and directing the officers of said
corporation to take any and all action necessary or
advisable in order to carry into effect all matters and
things consented to and authorized to be done at said
meeting and at said stockholders' meeting, including
the acceptance by said corporation of the assets, busi-
ness, property and good will of said The Hamilton
Manufacturing Company and payment therefor by issuance
of the bonds, debentures, )referred stock and coimmon
stock of the corporation.
